TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the websites, applications, digital platforms, communications, and other online services operated by or on behalf of StitchCrew Inc., an Oklahoma nonprofit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code ("StitchCrew," "we," "us," or "our"), together with related offerings and services that link to these Terms (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
Participation in certain StitchCrew programs, cohorts, events, or other offerings may be subject to additional agreements, rules, eligibility requirements, or policies. Those additional terms apply in addition to these Terms.
1. Relationship to Other StitchCrew Agreements and Policies
These Terms primarily govern your use of the Services.
If you participate in a StitchCrew program or cohort, your participation may also be governed by a Participant Agreement, program rules, the StitchCrew Code of Conduct, and other terms communicated in connection with that program.
The StitchCrew Privacy Policy describes how we collect, use, disclose, and protect personal information.
The StitchCrew Equity & Inclusion Policy describes our organizational commitments regarding access, equity, and inclusion.
If there is a conflict between these Terms and a Participant Agreement regarding a matter specifically related to participation in a StitchCrew program, the Participant Agreement will control for that matter.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to act on its behalf and, where applicable, bind it to these Terms.
Eligibility for a particular StitchCrew program or opportunity may be subject to additional criteria.
Submission of an application does not guarantee admission to any StitchCrew program.
3. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, programs, practices, technologies, or legal requirements.
When we update these Terms, we will revise the Last Updated date above.
If we make material changes, we may provide additional notice through the Services, by email, or through another reasonable method.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
4. Access to the Services
Subject to your compliance with these Terms, StitchCrew grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes.
You may not use the Services in a manner inconsistent with these Terms, applicable law, or any additional terms applicable to a particular Service or program.
StitchCrew may modify, suspend, restrict, or discontinue all or any portion of the Services at any time.
We do not guarantee that any Service, feature, program, resource, event, or content will always be available.
5. Accounts and Account Security
Some Services may require you to create an account.
You agree to provide accurate, current, and complete information and to keep applicable account information reasonably current.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You may not:

Share account credentials with unauthorized individuals.

Impersonate another person or organization.

Create an account using materially false information.

Attempt to gain unauthorized access to another person's account.
Notify StitchCrew promptly if you believe your account or credentials have been compromised.
6. Communications
By using the Services, applying to a program, registering for an event, or otherwise interacting with StitchCrew, you may receive administrative, transactional, program-related, or other communications from us.
Subject to applicable law, we may also send newsletters, event announcements, program information, and other marketing communications.
You may opt out of marketing emails using the unsubscribe instructions included in those communications.
Opting out of marketing communications does not prevent us from sending communications reasonably necessary to administer an application, program, account, transaction, event, or other relationship with StitchCrew.

7. Applications and Program Participation
StitchCrew operates programs and initiatives that may support entrepreneurs, founders, business owners, professionals, and other participants.
Applications may request information necessary to evaluate eligibility, fit, program objectives, or reporting requirements.
StitchCrew may establish eligibility criteria and selection processes appropriate to each program.
Submitting an application does not guarantee:

Acceptance.

Admission.
-
Funding.
-
Investment.
-
Mentorship.
-
Coaching.
-
An introduction.
-
A business opportunity.
-
Participation in future StitchCrew programs.
-
Any particular business or professional outcome.
If accepted into a program, you may be required to accept a separate Participant Agreement or additional program terms.
Program-specific terms may address attendance, participation, confidentiality, media, evaluations, community standards, intellectual property, removal from the program, and other matters related to participation.
8. No Investment, Professional Advice, or Guaranteed Outcomes
StitchCrew provides programming, education, community, resources, mentorship, connections, and other forms of entrepreneurial support.
Unless expressly stated otherwise in writing, StitchCrew is not acting as your attorney, accountant, financial advisor, investment advisor, fiduciary, broker, or other professional advisor.
Information provided through StitchCrew is intended for general educational and informational purposes.
You remain responsible for your own business, legal, financial, investment, tax, employment, operational, and other decisions and should obtain appropriate professional advice when necessary.
StitchCrew does not guarantee:

Business success.

Revenue or profitability.
-
Investment or financing.
-
Customers.
-
Partnerships.
-
Introductions.
-
Employment.
-
Contracts.
-
Grants.
-
Acceptance into another program.
-
Any other particular result.
Participation in StitchCrew programming does not mean that StitchCrew endorses, certifies, validates, invests in, or guarantees a participant, company, product, service, business model, or opportunity.
9. Your Content
"Your Content" means text, photographs, videos, audio, files, comments, submissions, application materials, or other content that you submit, upload, publish, or otherwise make available through the Services.
You retain ownership of Your Content.
You represent that:

You own Your Content or have the rights necessary to submit and use it.

Your Content does not violate applicable law or another person's rights.

Your submission of the Content does not violate a confidentiality or other legal obligation.
When you submit Your Content through the Services, you grant StitchCrew a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and otherwise use Your Content as reasonably necessary to provide, administer, secure, and improve the Services or applicable program.
This license does not give StitchCrew ownership of Your Content.
Where StitchCrew wishes to use participant stories, testimonials, photographs, videos, or other identifiable content for promotional purposes beyond what is reasonably expected from the context in which it was provided, StitchCrew may obtain additional permission when appropriate.
10. StitchCrew Intellectual Property
The Services and materials created or provided by StitchCrew, including curriculum, educational materials, graphics, designs, text, logos, trademarks, recordings, software, website content, and other materials, may be protected by copyright, trademark, and other intellectual property laws.
Except as expressly authorized, you may not:

Copy or reproduce StitchCrew materials.

Republish or distribute them.

Sell or commercially exploit them.

Create derivative works from them.

Remove copyright, trademark, or other proprietary notices.

Use StitchCrew's name, logo, or branding in a manner that suggests an unauthorized endorsement, sponsorship, investment, affiliation, or approval.
Participation in a StitchCrew program does not transfer ownership of StitchCrew intellectual property to you.
11. Feedback
If you voluntarily provide ideas, suggestions, recommendations, or other feedback about StitchCrew or the Services ("Feedback"), you grant StitchCrew a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that Feedback without compensation or obligation to you.
This provision does not give StitchCrew ownership of confidential business information merely because you provide feedback during a program.
12. Acceptable Use
You agree not to use the Services to:

Violate applicable law or regulation.

Violate another person's intellectual property, privacy, publicity, contractual, or other rights.

Harass, discriminate against, intimidate, bully, threaten, coerce, or retaliate against another person.

Engage in fraudulent, deceptive, or materially misleading conduct.

Distribute malware or malicious code.
-
Attempt unauthorized access to accounts, systems, networks, or data.
-
Interfere with or disrupt the security, integrity, operation, or performance of the Services.

Circumvent security or access-control measures.
-
Scrape, harvest, or systematically collect information from the Services except as expressly permitted.

Use member, participant, mentor, investor, speaker, staff, partner, or other contact information for unauthorized mass solicitation or marketing.

Send spam or unsolicited mass communications.
-
Impersonate another person or misrepresent your affiliation with an organization.
-
Reverse engineer, decompile, or attempt to discover source code except where applicable law expressly permits it.

Use the Services for unlawful or unauthorized commercial purposes.
Participants in StitchCrew programs and community activities are also subject to the StitchCrew Code of Conduct and applicable Participant Agreement.
13. Community Conduct and Enforcement
StitchCrew seeks to maintain professional, respectful, and trustworthy programs and community spaces.
We may review conduct that occurs through the Services, during StitchCrew programs or events, or in other circumstances when there is a meaningful connection to the StitchCrew community.
Depending on the circumstances, StitchCrew may:

Remove or restrict content.

Issue a warning.
-
Restrict access to particular features or spaces.
-
Temporarily suspend access.
-
Remove an individual from an event or program.
-
Terminate access to the Services.
-
Take other reasonable action necessary to protect individuals, StitchCrew, or the integrity of the community.
Serious conduct may result in immediate action without a prior warning.
Additional expectations and enforcement principles are described in the StitchCrew Code of Conduct and applicable Participant Agreements.
14. Events
StitchCrew may host, organize, sponsor, promote, or provide information about events.
Some events are organized directly by StitchCrew. Others may be organized by third parties.
Third-Party Events
The appearance or promotion of a third-party event through StitchCrew does not necessarily mean that StitchCrew organizes, controls, endorses, or assumes responsibility for that event.
Participation in third-party events is subject to the organizer's applicable terms and policies.
Participation and Risk
Participation in events is voluntary.
Events may involve risks associated with travel, physical locations, interactions with other participants, food and beverages, activities, or other circumstances.
To the extent permitted by law, you are responsible for determining whether participation is appropriate for you.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
Event Changes
StitchCrew may change an event's schedule, location, speakers, format, capacity, programming, or other details.
StitchCrew may also cancel an event or restrict participation when reasonably necessary.
15. Photography, Recording, and Media
StitchCrew may photograph, film, or record certain public or group portions of StitchCrew events and programs for educational, archival, communications, and promotional purposes.
When appropriate, StitchCrew may provide notice that photography or recording is taking place.
Participants with legitimate confidentiality, privacy, personal safety, or business concerns regarding photography or publicity should notify StitchCrew. We will make reasonable efforts to accommodate those concerns when practical.
You may not record private StitchCrew conversations, closed sessions, or other participants without appropriate permission.
Program-specific media terms may also be included in a Participant Agreement.
16. Confidentiality and Information Shared Through Programs
StitchCrew programs may create opportunities for participants to discuss businesses, strategies, challenges, financial information, or other sensitive subjects.
You are responsible for deciding what information you choose to disclose.
Unless expressly agreed otherwise in writing, participation in StitchCrew programming does not create a confidential, fiduciary, attorney-client, investor-founder, or other legally privileged relationship between you and StitchCrew, mentors, speakers, investors, other participants, or other members of the community.
Participants should use appropriate independent confidentiality agreements when sharing information that requires contractual protection.
Any confidentiality obligations imposed through a Participant Agreement or other written agreement remain applicable according to their terms.
17. Mentors, Speakers, Investors, Partners, and Other Participants
StitchCrew may facilitate connections with mentors, coaches, speakers, investors, funders, partners, service providers, other founders, or other individuals and organizations.
Unless expressly stated otherwise:

These individuals and organizations are independent from StitchCrew.

Their views are their own.

StitchCrew does not guarantee their advice, services, conduct, availability, or decisions.

An introduction does not constitute an endorsement or recommendation.
-
StitchCrew does not guarantee that any introduction will result in investment, financing, employment, partnership, sales, or another opportunity.
You are responsible for conducting appropriate diligence before entering into any business, professional, financial, or other relationship arising from a StitchCrew connection.
18. Third-Party Services and Links
The Services may contain links to or integrations with websites, applications, platforms, products, or services operated by third parties.
StitchCrew does not control those third parties and is not responsible for their content, availability, security, privacy practices, products, or services.
Your interactions with third-party services are governed by their own terms and privacy policies.
19. Privacy
Your use of the Services is subject to the StitchCrew Privacy Policy, which explains how StitchCrew collects, uses, discloses, and protects personal information.
The Privacy Policy is incorporated into these Terms by reference.
20. Copyright Infringement
StitchCrew respects intellectual property rights.
If you believe material available through the Services infringes your copyright, you may send a written notice containing the information required by applicable copyright law.

Your notice should include sufficient information to identify the copyrighted work, the allegedly infringing material, your contact information, a good-faith statement regarding unauthorized use, and any other information required by applicable law.
StitchCrew may remove or restrict access to allegedly infringing material and may take appropriate action regarding repeat infringement.
21. Service Availability and Changes
We work to maintain reliable Services but do not guarantee uninterrupted, secure, or error-free availability.
StitchCrew may modify, suspend, restrict, or discontinue all or part of the Services, including particular features, programs, platforms, or content.
We are not responsible for interruptions caused by circumstances beyond our reasonable control.
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND STITCHCREW CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
STITCHCREW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
STITCHCREW DOES NOT WARRANT THAT:
THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE COMPLETE OR ACCURATE.
PARTICIPATION WILL PRODUCE ANY PARTICULAR BUSINESS OR PROFESSIONAL RESULT.
ANY MENTOR, INVESTOR, PARTNER, SPEAKER, PARTICIPANT, OR OTHER THIRD PARTY WILL ACT IN A PARTICULAR MANNER.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STITCHCREW AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, VOLUNTEERS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR REPUTATION ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STITCHCREW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: $100; or
The amount you paid directly to StitchCrew for the applicable Service during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited.
24. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless StitchCrew and its directors, officers, employees, agents, volunteers, affiliates, and representatives from third-party claims, liabilities, damages, losses, and reasonable costs and expenses, including attorneys' fees, arising from or relating to:

Your material breach of these Terms.

Your unlawful or unauthorized use of the Services.

Your Content.
-
Your violation of another person's rights.
-
Your unlawful or wrongful conduct in connection with the Services.
StitchCrew reserves the right to assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate.
25. Suspension and Termination
You may stop using the Services at any time.
StitchCrew may suspend, restrict, or terminate your access to the Services if:

You violate these Terms.

You violate an applicable Participant Agreement, Code of Conduct, or program rule.

Your conduct creates a significant security, safety, legal, or operational concern.
-
Continued access could materially harm StitchCrew, another person, or the integrity of a StitchCrew program or community.

We discontinue the applicable Service.
-
Otherwise permitted by applicable law.
Termination of access to the Services does not necessarily determine your status under a separate agreement unless StitchCrew communicates otherwise.
Program removal or termination is governed by the applicable Participant Agreement and StitchCrew policies where applicable.
26. Governing Law and Venue
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, any legal proceeding arising from or relating to these Terms or the Services must be brought in the appropriate state or federal courts located in Oklahoma County, Oklahoma, and you consent to the jurisdiction of those courts.
27. Electronic Communications
You consent to receive agreements, notices, disclosures, and other communications electronically when permitted by law.
Electronic communications may be provided by email, through the Services, through an account, or by another reasonable electronic method.
You agree that electronic communications satisfy legal requirements that communications be in writing to the extent permitted by law.
28. Force Majeure
StitchCrew will not be responsible for delays, interruptions, cancellations, or failures caused by circumstances beyond our reasonable control, including severe weather, natural disasters, public health emergencies, acts of government, labor disputes, civil unrest, utility or telecommunications failures, cybersecurity incidents not caused by our failure to use reasonable safeguards, or similar events.
29. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any agreements or policies expressly incorporated by reference, constitute the agreement between you and StitchCrew regarding your use of the Services.
Separate Participant Agreements and program-specific terms govern the matters addressed by those agreements.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
Waiver
StitchCrew's failure to enforce a provision of these Terms does not waive its right to enforce that provision or another provision in the future.
Assignment
You may not assign or transfer these Terms without StitchCrew's prior written consent.
StitchCrew may assign these Terms in connection with a merger, reorganization, restructuring, transfer of operations or assets, or other organizational transaction.
No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create rights for third-party beneficiaries.
Headings
Section headings are provided for convenience and do not affect interpretation of these Terms.
Survival
Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and other provisions necessary to give effect to their intended purpose.
