TERMS OF USE

StitchCrew Inc., a 501(c)(3) nonprofit organization headquartered in Oklahoma City, Oklahoma (“StitchCrew,” “we,” “us,” or “our”), operates the websites, applications, APIs, and services that link to these Terms (“Site”), together with all related offerings, events, communications and interactions (collectively with the Site, the “Services”). By accessing or using the Services, you (“you”, “user”) agree to these Terms. If you do not agree, do not access or use the Services.
1. Definitions

“You” / “Your” means any individual or entity using the Services.

“User” means someone who accesses or uses the Services, submits Content, or otherwise interacts with the Services.

“Content” means all text, images, audio, video, data, or other materials.

“Your Content” means Content submitted or transmitted by you.

“User Content” includes Content contributed by users generally.

“StitchCrew Content” means content created and provided by StitchCrew.

“Third-Party Content” means content originating from someone other than StitchCrew or its users.

“Site Content” includes all Your Content, User Content, Third‑Party Content, and StitchCrew Content made available through the Services.
2. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated (e.g. via email or prominent notice on the Site). The version effective at the time you use the Services governs your use. Continued use after changes means you accept the updated Terms.
3. Using the Services
A. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and capable of entering into binding contracts. If you are accessing as an entity, you warrant you have authority to bind the entity.
B. License & Access
Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services in accordance with these Terms.
C. Account Registration
To access some features, you must register an account. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activities under your account. Notify us immediately of any unauthorized use.
D. Communications
By using the Services or creating an account, you may receive communications from us. You can opt out of non‑essential communications (e.g. marketing) in accordance with our Privacy Policy.
E. Service Availability
We aim to maintain the Services but do not guarantee uninterrupted access. We may suspend, modify, or discontinue all or part of the Services at any time without liability.
4. Content & Intellectual Property
A. Your Content Representations & Warranties
You represent and warrant that:

You own or have all rights necessary to use Your Content under these Terms.

Your Content does not violate any law or third‑party rights.

Your Content is not false, defamatory, obscene, or unlawful.
B. License to Use Your Content
By submitting Your Content, you grant StitchCrew and its affiliates a worldwide, royalty‑free, perpetual, sublicensable, assignable license to use, reproduce, adapt, distribute, publicly perform or display, publish, translate, and create derivative works of Your Content for purposes of operating, promoting, and improving the Services.
C. StitchCrew Content Rights
All StitchCrew Content and intellectual property rights associated with the Services are owned by or licensed to StitchCrew. You may not copy, modify, distribute, sell, or lease any part of our Services or Content except as expressly permitted under these Terms.
D. Removal & Moderation
We may, but are not obligated to, monitor, remove, or refuse to post any User Content for any or no reason, including content that violates these Terms. We may also moderate user submissions to enforce quality, safety, or compliance.
5. User Conduct & Restrictions
You agree not to:

Violate any applicable law, regulation, or third‑party rights.

Submit content that is infringing, defamatory, indecent, obscene, or offensive.

Harass, bully, or threaten others, or encourage violence or discrimination.

Use the Services for unsolicited commercial messages (spam) or mass messaging.

Interfere with or disrupt the Services or servers/networks connected to them.

Reverse engineer, decompile, tamper with security features, or otherwise seek to discover source code unless law expressly permits.
6. Events
A. SC Events vs Non‑SC Events

SC Events are events hosted or organized by StitchCrew.

Non‑SC Events are events by third parties, though may appear in listings or be promoted via the Services.
B. Assumption of Risk & Release
Participation is voluntary. You assume risks entailed. StitchCrew is not liable for injury, loss, or damage unless caused by its gross negligence or willful misconduct.
C. Media & Publicity
By participating in Events (SC or otherwise listed), you consent to being photographed, recorded, and for StitchCrew to use such recordings/images for promotional or educational purposes under the license framework set forth in section 4.
D. Event Cancellation or Termination
StitchCrew may cancel or alter events, or refuse your participation, at any time without liability, to the extent permitted by law.
7. Privacy and Disputes
A. Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms.
B. Copyright / Trademark Infringement
If you believe that your copyrighted or trademarked work has been infringed, see our DMCA / trademark notice procedure (or equivalent) for submitting claims. Provide adequate identification, description, and contact information. We will respond according to applicable law.
8. Feedback & Suggestions
If you send Feedback (ideas, suggestions, improvements), you grant StitchCrew a perpetual, non‑exclusive, royalty‑free, assignable license to use, modify, publish, distribute, and sublicensable derivatives, and waive any moral rights regarding your Feedback.
9. Third‑Party Links and Content
Our Services may contain links or integrations with third‑party sites. We do not control those third parties. Use of those is at your own risk, and their terms/policies apply.
10. Indemnification
You agree to defend, indemnify, and hold harmless StitchCrew and its parents, subsidiaries, affiliates, officers, directors, employees, agents, and volunteers from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising from:

11. Disclaimers & Limitation of Liability
A. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR THAT SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE.
B. Limitation of Liability
To the maximum extent permitted by law:

StitchCrew’s total liability arising from or in connection with these Terms and the Services is limited to the greater of (i) $100 or (ii) the total amount you paid to us in the 12 months preceding the claim.

StitchCrew is not liable for indirect, incidental, special, punitive, or consequential damages, or loss of profits, business, data, reputation, or other intangible losses.
12. Governing Law, Jurisdiction & Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma without regard to conflicts‑of‑law principles.

Disputes must be brought exclusively in the state or federal courts located in Oklahoma City, Oklahoma.

If any provision is found invalid or unenforceable, it shall be modified or severed to the minimum extent necessary; the remaining provisions remain in full force.
13. Termination

You may terminate by closing your account or discontinuing use.

We may suspend or terminate your access for violation of these Terms or for any or no reason, where permitted by law.

Sections including but not limited to Definitions, Content Ownership & License, Indemnification, Disclaimers, Limitation of Liability, Governing Law, and Termination survive termination.
14. Miscellaneous

These Terms, together with the Privacy Policy and any other agreements expressly referenced, constitute the entire agreement between you and StitchCrew regarding use of the Services.

No waiver: failure to enforce a provision does not constitute a waiver of rights.

Assignment: you may not assign these Terms except with written consent. StitchCrew may assign without consent.
